The efforts made at the National Business Center to transfer the shares of the Vlora airport from the company MABCO to Valon Ademi's 2A Group were essentially based on false declarations submitted to state institutions. The documents signed by Vegim Hoxha, the administrator of the concessionaire company Vlora International Airport, omitted the rejections previously expressed by the institutions and the creditor bank. The truth came out after the NBC accepted MABCO's appeal and returned the shares to its ownership, but only after the denunciation made to SPAK against state officials. But how did it happen that shares worth hundreds of millions of euros were transferred to a company called 2A Group of Valon Ademi, although the history of the conflict between businessmen is already known everywhere in Albania?
On October 19, 2026, the National Business Center registered the change in VIA's ownership structure, reducing MABCO's participation from 98% to 51% and increasing that of 2A Group from 2% to 49%.
The registration was carried out upon a request signed by administrator Vegim Hoxha, while the ownership of 47% of the quotas continued to be the subject of a still unresolved judicial conflict.
But the documents show that Hoxha had previously received negative responses from the National Commercial Bank and the Ministry of Infrastructure for the transfer of quotas, while in the documentation submitted to the Central Bank he argued that their approvals were not necessary.
Vegim Hoxha's statements to the Central Committee of the Communist Party of China and the documents that contradict them
In the documentation filed for the registration of the transfer, Vegim Hoxha submitted a statement according to which the transfer of quotas did not require the approval of the National Commercial Bank, but only its notification.
He also argued that the approval of the Ministry of Infrastructure and Energy was not necessary, referring to the position of this ministry on the termination of the concession contract. In the two following letters, it is seen that Hoxha accepted these two facts when he made the request for the transfer of shares.

E njëjta situatë rezulton edhe me Ministrinë e Infrastrukturës dhe Energjisë.
Në deklaratën e paraqitur në QKB, Hoxha argumentoi se miratimi i autoritetit kontraktor nuk kërkohej më, për shkak të qëndrimit të ministrisë se kontrata e koncesionit ishte zgjidhur.
Por një shkresë zyrtare e Ministrisë së Infrastrukturës, të datës 3 gusht 2026, drejtuar Vegim Hoxhës dhe kompanisë 2A Group dëshmon se ministria kishte refuzuar shprehimisht dhënien e pëlqimit për transferimin e kuotave.
Kjo do të thotë se, përpara regjistrimit të 19 tetorit, si administratori i VIA, Vegim Hoxha ashtu edhe kompania përfituese 2A Group e Valon Ademit ishin vënë në dijeni të qëndrimit negativ të autoritetit kontraktor. Pavarësisht këtyre, vazhduan me kërkesën drejtuar QKB, me një interpretim, sipas të cilit miratimi i ministrisë nuk ishte i nevojshëm, megjithëse ekzistonte një refuzim zyrtar i saj, pikërisht atë transferim.
Dy shkresat, ajo e BKT e datës 15 qershor dhe ajo e Ministrisë së Infrastrukturës e datës 3 gusht, përbëjnë dokumentet kryesore që vënë në dyshim vërtetësinë dhe plotësinë e deklarimeve të administratorit në QKB.
Regjistrimi u krye edhe pse ekzistonte një masë gjyqësore
Menjëherë pas regjistrimit të aksioneve që i dhanë Valon Ademit 49% të aeroportit të Vlorës, MABCO e Behgjet Pacollit paraqiti një ankesë administrative në QKB, duke kërkuar anulimin e ndryshimit të pronësisë.
Në ankesë, biznesmeni argumentoi se regjistrimi ishte kryer në kundërshtim me një vendim gjyqësor të formës së prerë, që kishte vendosur masën e pezullimit të tjetërsimit të 47% të kuotave.
Sipas MABCO, transferimi binte ndesh edhe me një urdhër përmbarimor që ndalonte tjetërsimin e tyre.
Kompania kundërshtoi gjithashtu regjistrimin për mungesën e miratimit të Ministrisë së Infrastrukturës dhe të pëlqimit të BKT, pranë së cilës kuotat ishin vendosur si garanci.
According to MABCO's claims, the transfer of shares was carried out while simultaneously bypassing judicial restrictions, contractual obligations, and the rights of the creditor bank.
In this matter, MABCO also filed a criminal complaint with SPAK. Meanwhile, the bailiff who had issued the order to stop the alienation requested the deregistration of the transfer and warned of criminal charges.
The Central Bank canceled the registration, after reporting it to SPAK.
After reviewing MABCO's administrative appeal, the National Business Center decided to cancel the registration carried out on October 19. In its decision, the NBC acknowledged that the approval of the National Commercial Bank for the transfer of quotas was missing.
The cancellation of the registration does not definitively resolve the conflict over the ownership of 47% of the quotas, but confirms that the change registered on October 19 did not meet at least one of the necessary conditions for the transfer.
Essentially, the documents show a new attempt, through new fraud, to achieve the same result through the commercial register. It will be up to the justice authorities to determine whether Vegim Hoxha's statements constitute only unfounded legal claims, or are part of a deliberate act to deceive the public institution and illegally transfer ownership.
The fact that the registration was canceled after MABCO's complaint does not negate the need to clarify how the transfer was initially accepted, why official rejections were not respected, and who is responsible for the actions that enabled the change of ownership./Lapsi.al
