The conflict over control of Vlora Airport, which has already passed into international arbitration, has further escalated through a criminal complaint filed with SPAK against officials of the National Business Center, administrator Vegim Hoxha and representatives of 2A Group, following the registration of the transfer of 47% of the quotas of the Swiss investor MABCO, in violation of court decisions and the concession's contractual obligations.
On October 19, 2026, the National Business Center registered the change in the ownership structure of the concessionaire Vlora International Airport, reducing the participation of MABCO Constructions SA from 98% to 51% and increasing that of the company 2A Group from 2% to 49%. The decision was taken at a time when the validity of the contract on which the transfer of 47% of the quotas is based continues to be the subject of a judicial conflict, while the disputed quotas, according to the Swiss investor, were burdened by a security measure that prohibited their alienation.
For these actions, MABCO has filed a criminal complaint with SPAK, requesting the investigation of the officials of the Central Bank of Albania, the administrator Vegim Hoxha, Valon Ademi and representatives of 2A Group. The complaint is based on suspicions that the registration was carried out by ignoring not only judicial restrictions, but also the lack of approval of the Ministry of Infrastructure and Energy, as the contracting authority of the concession, and of the National Commercial Bank, in whose favor the quotas were placed as a guarantee for the financing of the project.
Vlora Airport is a concession project, built on a contract with the Albanian state and financed through significant banking commitments. For this reason, changes in the ownership structure cannot be separated from the obligations arising from the concession contract, financing agreements and court decisions. Even more so when the conflict has passed to international arbitration and the Swiss investor has initiated procedures for the protection of the investment also in relation to the Albanian state.
The Central Bank registered the transfer in violation of the court's security measure.
One of the main violations reported by MABCO is related to the non-compliance with the judicial measure prohibiting the alienation of the disputed quotas. According to the bailiff's letter dated October 21, 2026, the registration carried out by the Central Bank of Kosovo is in contradiction with the security measure imposed by the decision of December 22, 2025, of the Court of Appeal, which was put into execution and previously published by the Central Bank of Kosovo itself.
The clash over control of Vlora Airport has now also gone to international arbitration, taking the conflict beyond the jurisdiction of Albanian courts. MABCO has activated proceedings at the International Chamber of Commerce (ICC), where in September 2026 emergency arbitrator Cecilia Carrara handled the request for urgent measures aimed at preserving the status quo until the dispute is resolved.
Interventions in the administration and ownership of the company, while the dispute is subject to arbitration, may affect the rights and claims of the parties, as well as the assessment of actions taken during the course of the procedure.
In parallel with the commercial arbitration, MABCO has also activated the mechanisms for the protection of foreign investments, provided for in the bilateral agreement between Albania and Switzerland. According to the investor, the six-month period for the amicable resolution of the dispute with the Albanian state ended on October 22, 2026, without reaching an agreement, opening the possibility of initiating an investment arbitration against Albania.
From partners' conflict to reporting to SPAK
MABCO's criminal complaint now also places SPAK in the face of a request to investigate the manner in which the Central Bank registered the transfer of 47% of the quotas, at a time when there was allegedly a judicial restraining order against them and when approvals from the responsible institutions were lacking.
The Special Prosecution Office must assess whether the reported actions constitute criminal violations, which persons have made the relevant decisions, and whether the registration was carried out in accordance with the documentation and legal obligations. Until the investigation is concluded, the investor's claims remain accusations that require verification and not proven criminal liability.
However, beyond the outcome of the lawsuit, the Vlora Airport problem has become more complicated. A conflict that initially related to the claims of two partners over the ownership and administration of a concession company has now involved Albanian courts, state institutions, the financing bank, and international arbitration.
In this clash, the Albanian state has become part of the Swiss investor's claims, creating the possibility that the conflict over control of the airport could end in an international process against Albania./Lapsi.al
